Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of the Myzo College mobile application (the "App") and the website at college.getmyzo.com (together, the "Services"), offered by Myzo, LLC, a Tennessee limited liability company ("Myzo," "we," "us," or "our").
By creating an account or using the Services, you agree to these Terms and to our Privacy Policy, which is part of these Terms. If you do not agree, do not use the Services.
IMPORTANT: SECTION 15 CONTAINS A BINDING ARBITRATION PROVISION AND CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.
2. Definitions
- "Account" means your Myzo College account.
- "Subscription" means a paid plan that gives you access to the full Services.
- "Content" means text, images, sounds, and other material available through the Services.
- "Your Content" means the Content you submit to the Services, including your classes, tasks, notes, grades, flash cards, and photos.
- "AI Output" means flash cards and other material the Services generate for you using artificial intelligence.
3. Eligibility and Your Account
Age. You must be at least sixteen (16) years old to use Myzo College. If you are under the age of majority where you live, you may use the Services only with the permission of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your use.
One person per account. Your Account is for your personal use. Do not share it or create an Account for someone else.
Accurate information. You agree to provide accurate information when you create your Account and to keep it current.
Account security. You are responsible for keeping your sign-in details confidential and for all activity under your Account. Tell us right away at legal@getmyzo.com if you think someone has accessed your Account without permission.
No school affiliation. Myzo College is an independent product. It is not affiliated with, endorsed by, or operated on behalf of any college, university, or instructor, even if you add their name to your Account.
4. Subscriptions, Trials, and Billing
Subscriptions. Some features of the Services require a paid Subscription. Current plans and prices are shown in the App before you buy.
Billing through Apple. Subscriptions purchased in the App are sold and billed by Apple Inc. through your Apple Account and are also governed by Apple's terms. Apple handles your payment method, receipts, taxes, and refunds. We never receive your payment card number or billing address.
Free trials. We may offer a free trial. Unless you cancel at least twenty-four (24) hours before the trial ends, your paid Subscription begins automatically at the price shown when you started the trial.
Automatic renewal. Your Subscription renews automatically at the end of each billing period at the then-current price unless you cancel at least twenty-four (24) hours before the end of the current period.
Cancellation. You can cancel at any time in iPhone Settings → [your name] → Subscriptions. Cancellation takes effect at the end of the current billing period, and you keep access until then. Deleting your Account or the App does not cancel your Subscription — you must cancel it with Apple.
Refunds. Refunds are handled by Apple under its policies. You can request one at reportaproblem.apple.com. Except where required by law, we do not provide refunds or credits for partial billing periods.
Offer codes and promotions. We may give out codes or promotions for free or discounted access. They are subject to any terms shown when you redeem them, may be redeemed only once, have no cash value, and may not be sold or transferred.
Price changes. If we change the price of your Subscription, we or Apple will tell you in advance, and the new price applies from your next renewal. You can cancel before then if you don't want to continue.
Web purchases. If we later offer Subscriptions through our website, the billing and cancellation terms shown at purchase will apply to those Subscriptions.
5. Your Content
You own your Content. As between you and Myzo, you keep all rights to Your Content.
License to us. You give Myzo a non-exclusive, worldwide, royalty-free license to host, store, copy, process, and display Your Content only to operate and provide the Services to you, including sending study material you choose to our AI provider to generate flash cards. This license ends when you delete Your Content or your Account, except for copies in backups that are overwritten on our normal schedule.
Your responsibility. You are responsible for Your Content. You confirm that you have the right to submit it — for example, that you may photograph and use the course materials you upload for your own study — and that it doesn't violate anyone's rights or the law.
Feedback. If you send us suggestions or ideas, we may use them without any obligation to you.
Nothing is public. The Services have no feature that shows Your Content to other users.
6. AI-Generated Flash Cards
The Services can generate flash cards from notes, pages, or slides you submit. AI Output is produced automatically and may be inaccurate, incomplete, or out of date. Check it against your course materials before relying on it. You are responsible for how you use AI Output, and to the extent we have any rights in it, you may use it for your personal study.
Do not submit material you don't have the right to use, or sensitive personal information about yourself or others.
7. Academic Integrity
Myzo College is a planning and study tool. You are responsible for following your school's academic-integrity policies and your instructors' rules. Do not use the Services to cheat, to share exam content you are not allowed to share, or to complete graded work in a way your school prohibits.
8. Acceptable Use
You agree not to:
- Use the Services for anything unlawful, fraudulent, or harmful;
- Access or tamper with non-public parts of the Services or our systems;
- Reverse engineer, decompile, or try to extract the source code of the App;
- Bypass or interfere with security, sign-in, subscription, or usage limits;
- Use bots, scrapers, or other automated means to access the Services or send requests to our AI features;
- Resell, rent, or commercially exploit the Services;
- Impersonate anyone or misrepresent your identity or age; or
- Submit Content that is unlawful, infringing, harassing, hateful, or obscene.
We may investigate violations and suspend or close Accounts that break these Terms.
9. Intellectual Property
Myzo and its licensors own the Services, including the App, its design, software, and the names and logos "Myzo" and "Myzo College," but not Your Content. Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your own non-commercial use.
10. Third-Party Services and Apple
Third-party services. The Services rely on third parties such as Apple, Google (if you choose Sign in with Google), and our service providers. Your use of their services is also subject to their terms.
Apple. These Terms are between you and Myzo, not Apple. Apple has no obligation to provide maintenance or support for the App. If the App fails to meet any applicable warranty, you may notify Apple, which will refund the purchase price (if any) of the App; to the extent permitted by law, Apple has no other warranty obligation for the App. Apple is not responsible for addressing claims relating to the App, including product-liability claims, claims that the App fails to meet legal or regulatory requirements, consumer-protection claims, or intellectual-property infringement claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
11. Termination
By you. You can stop using the Services at any time and delete your Account from Settings → Delete Account. Deletion follows the seven-day process described in our Privacy Policy. Remember to cancel your Subscription with Apple separately.
By us. We may suspend or close your Account if you materially break these Terms, if the law requires it, or if we stop offering the Services. We will give you reasonable notice unless the situation requires immediate action to protect users or the Services.
After termination. Your right to use the Services ends. Sections that by their nature should survive — including Sections 5 (as to feedback), 9, 12, 13, 14, 15, and 16 — will survive.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Not medical advice. MYZO COLLEGE IS A STUDY AND FOCUS TOOL. IT IS NOT INTENDED TO DIAGNOSE, TREAT, OR MANAGE ANY MEDICAL OR PSYCHOLOGICAL CONDITION, INCLUDING ATTENTION-DEFICIT / HYPERACTIVITY DISORDER, AND IT IS NOT A SUBSTITUTE FOR ADVICE FROM A QUALIFIED PROFESSIONAL.
No guaranteed results. WE DO NOT PROMISE THAT USING THE SERVICES WILL IMPROVE YOUR GRADES, FOCUS, OR ACADEMIC OUTCOMES. REMINDERS AND SCHEDULES ARE AIDS ONLY; YOU REMAIN RESPONSIBLE FOR YOUR DEADLINES.
Availability. WE DO NOT PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT YOUR DATA WILL NEVER BE LOST. KEEP YOUR OWN COPIES OF ANYTHING IMPORTANT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) MYZO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST DATA, GRADES, OR ACADEMIC OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
(b) MYZO'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US$100).
(c) SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THEM MAY NOT APPLY TO YOU.
14. Indemnification
To the extent permitted by law, you will defend and indemnify Myzo and its officers, employees, and agents against third-party claims arising from your violation of these Terms, Your Content, or your violation of any law or third-party right.
15. Governing Law and Dispute Resolution
Governing law. These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws rules.
Try to resolve it with us first. Before starting a formal proceeding, contact us at legal@getmyzo.com. We will try to resolve the dispute informally within sixty (60) days.
Binding arbitration. If we can't resolve it informally, any dispute arising out of or related to these Terms or the Services will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration will be seated in Knoxville, Tennessee, but you may choose to participate by video or phone.
CLASS-ACTION WAIVER. YOU AND MYZO EACH AGREE TO BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. IF THIS WAIVER IS FOUND UNENFORCEABLE, THIS ENTIRE ARBITRATION SECTION WILL NOT APPLY, BUT THE REST OF THESE TERMS WILL.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, or seek court relief to protect intellectual-property rights.
Opt-out. You may opt out of arbitration and the class-action waiver by emailing legal@getmyzo.com within thirty (30) days of first accepting these Terms, with your name and the email address on your Account.
If you live outside the United States. Nothing in these Terms takes away rights you have under the mandatory consumer-protection laws of the country or province where you live. If those laws do not allow the arbitration agreement, the class-action waiver, or the choice of Tennessee law or courts to apply to you — for example, for consumers in Québec — those provisions do not apply to you, and you may bring claims in the courts where you live.
16. General
Changes to the Services. We may change, suspend, or discontinue features. We will make reasonable efforts to give paying subscribers advance notice of changes that materially reduce what they paid for.
Changes to these Terms. If we make a material change, we will notify you by email or in the App before it takes effect. If you keep using the Services after that, you accept the updated Terms. If you don't agree, stop using the Services and cancel your Subscription.
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Myzo about the Services.
Severability. If any part of these Terms is unenforceable, the rest stays in effect.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not transfer these Terms without our written consent. We may transfer them, including as part of a merger, acquisition, or sale of assets.
Notices. We may send you notices by email, push notification, or in the App. Send legal notices to us at the address below.
Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control.
Export and sanctions. You confirm that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of restricted parties.
Language. These Terms may be provided in other languages. If there is a conflict, the English version controls, except where local law requires otherwise.
